- Capital Markets & Securities
MDC has handled quite a number of high profile debt and equity offerings or private placements by Indonesian blue chip companies, either as counsel to the issuer or the underwriter. These offerings and private placements are conducted either as pure Indonesian capital market transactions or in reliance of Rule 144A and Regulation S of the US Federal Securities law. We provide counsel to clients in the preparation of offering circulars, prospectuses, registration statements and various reports filed with Bapepam & LK, the Indonesian Capital Markets & Financial Institution Supervisory Agency. In addition to conducting legal due diligence, preparing and advising on underwriting and trustee agreements, and other documents related to capital markets and securities transactions, we also from time to time advise on corporate actions regulated by Bapepam & LK, such as conflict of interest transactions and material transactions. Our lawyers are also well-versed in advising on global and domestic ESOPs and MSOPs, as well as in the setting of Indonesian mutual funds (reksadana). MDC has been the firm of choice of a number of international investment banks for capital markets & securities which looks either for itself or its clients, a firm that has a solid track record for being able to handle international aspects capital market transactions and work seamlessly with the global firms specializing in securities work.
- Mergers & Acquisitions
MDC has done major Mergers and Acquisitions work and lawyers in MDC have represented companies regarding all aspects of business formations, mergers, joint ventures, acquisitions, stock and asset sales, tender offers, takeover and reorganization. We also have a solid track record for being able to carry out comprehensive and strategic legal due diligence exercises for Mergers and Acquisitions transactions in wide range of industries. Instead of providing the client with a lengthy and convoluted report, our due diligence focuses on the key issues crucial to the transaction and proposes solutions or alternatives to the issues.
Our lawyers have executed a number of major merger transactions in Indonesia that had high levels of complexity, including the restructuring and merger of the four state-owned banks in 1999, the merger of a major publicly listed cement company with its subsidiaries. The firm has also played key roles in some of the major acquisition transactions which also contain capital markets aspects coming out of the region, including the acquisition of shares involving the shareholder of a major publicly listed cigarette company, acquisitions of controlling stakes in a number of major banks of Indonesia as well as certain companies with oil and gas and coal mining interests by foreign strategic investors.
- Banking, Corporate Finance, and Project Finance
MDC has handled many corporate finance and banking transactions involving Indonesian borrowers and/or assets, both for the lenders and the borrowers’ sides. We have worked on a broad range of secured loan transactions as well as structured finance transactions including leveraged buy outs, structured notes and securitizations. We also have extensive experience in advising on all aspects of creditor’s rights and remedies, loan enforcement and restructuring as well as bankruptcy. Our lawyers have represented creditors’ committees on a number of important debt restructurings of private and publicly listed companies in the broadcasting, pharmaceutical, cement, automotive, and gas pipe industries. Certain of our lawyers have the expertise and have handled a number of project finance transactions which include toll road projects and power plants projects. Where the transaction has foreign legal aspects, we are able to work effectively and seamlessly with the leading global firms active in Indonesia.
- Corporate Commercial
We do general commercial work and have extensive experience in providing advice and preparing documentation related to general and commercial matters such as: establishment of foreign investment companies in Indonesia, joint ventures and strategic alliances. Our lawyers can also provide advice on various matters including business competition, employment, environmental matters, real and intellectual property, regional autonomy, and various regulatory regimes and structures.
